Terms of Service

1. Acceptance of Terms
By accessing or using the CheckoutNow platform, APIs, SDKs, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including merchants, developers, and AI agent operators.
2. Description of Service
CheckoutNow provides a middleware platform that enables AI agents to browse product catalogs, recommend products, and facilitate checkout on behalf of end users. The Service includes APIs, dashboard tools, analytics, and integration connectors.
3. Account Registration
You must provide accurate, current, and complete information during registration. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately of any unauthorized access.
4. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to reverse-engineer, decompile, or disassemble any part of the Service; (c) interfere with or disrupt the integrity or performance of the Service; (d) access the Service through automated means at a rate exceeding your plan limits; (e) resell access to the Service without written authorization.
5. Merchant Obligations
Merchants are responsible for the accuracy of their product catalog data, pricing, inventory levels, and fulfillment of orders placed through the Service. CheckoutNow acts as a technology intermediary and does not take ownership of or liability for merchant products or services.
6. Payment & Billing
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Transaction fees, if applicable, are calculated based on your plan tier.
7. Intellectual Property
The Service, including all software, APIs, documentation, and branding, is owned by CheckoutNow and protected by intellectual property laws. You retain ownership of your catalog data and business content. You grant us a limited license to process and display your data as necessary to operate the Service.
8. Data Processing
We process data in accordance with our Privacy Policy. You are responsible for obtaining any necessary consents from your end users for data processed through the Service. We act as a data processor on your behalf for order and catalog data.
9. Service Availability
We target 99.99% uptime but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. Enterprise plans include custom SLA agreements with defined remedies.
10. Limitation of Liability
To the maximum extent permitted by law, CheckoutNow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
11. Termination
Either party may terminate this agreement at any time with 30 days' written notice. We may suspend or terminate your access immediately for violations of these terms. Upon termination, your right to use the Service ceases, and we may delete your data after a 30-day grace period.
12. Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email or dashboard notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.
13. Governing Law
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with AAA rules.
